More Bylaws from the Latest Board Meeting

The Board of Trustees met yesterday to discuss details for the upcoming “Bite of West Olympia”, Sunday’s work party, and to adopt additional bylaws for the West Central Park Project.  The new bylaws establish the criteria for membership in the Park organization and creates a Board of Overseers, which will provide an additional voice for the community in Park matters and provide another opportunity for individuals to serve without being full-time Board members.  The complete text of the two new articles is reprinted below.

ARTICLE V – Board of Overseers

The Board of Overseers shall have the power to nullify actions taken by the Board of Trustees, sanction amendments to the bylaws, resolve disputes among the Board of Trustees, and confirm replacement nominees to the Board of Trustees.

The Board of Overseers shall consist of nine (9) members.  The term of each member shall last three (3) years.

The Board of Trustees shall be called to order at the request of the President of the Board, by a vote of three-quarters of the Board of Trustees, or three (3) days after submitting a petition with the signatures of three-quarters of the Board of Overseers to the President of the Board.

The Board of Trustees may only consider matters brought before them by order of the President, by order of a vote of three-quarters of the Board of Trustees, or by a vote of three-quarters of the Board of Overseers.

ARTICLE VI – Membership

The Membership of the West Central Park Project shall consist of the “Friends of West Central Park”.  “Membership” may be obtained by donating $75 or its in-kind equivalent to the West Central Park, by working at least one (1) hour at least three (3) work parties or by attending and voting in three (3) consecutive West Central Park Member Meetings, or by residing within twelve (12) blocks of the West Central Park for at least one (1) year.  “Voting Membership” may be obtained by fulfilling two of the three requirements.

“Membership” shall entitle the member to be present for annual West Central Park Project Member Meetings; to raise issues, ask questions, and vote on general proposals at West Central Park Project Member Meetings; and to second motions made at West Central Park Project Member Meetings.

“Voting Membership” shall entitle the member to stand for election to the Board of Trustees or Board of Overseers; to propose motions at the West Central Park Project Member Meetings; to vote in elections of Board of Trustees or Board of Overseers members; and all rights conferred upon members enjoying “Membership” status.

A West Central Park Project Member Meeting shall be convened at least once per year no more than one week after the end of the Park’s Fiscal Year.
